... the Parties agree that if any competent antitrust or regulatory authorities in any country shall impose on TE or on TI any burden or divestment finally confirmed by the competent authorities (the “Burden”) resulting from TE’s equity investment in Newco and indirectly in TI, then TE, in case the Burden is imposed on TE, or each of the Parties, in case the Burden is imposed on TI, will have the right to request a De-merger as provided for in Article 1.2(cc) of this Shareholders’ Agreement...
...In such case (x) the Parties shall implement, adopt and vote, and cause the directors designated by them to implement, adopt and vote, all and any actions, documents and resolutions necessary to complete the De-merger within a reasonably short timeframe, but in any case no later than 6 months following the Demerger Notice or, if the transaction is subject to any authorizations by law or contract, within 6 months following the obtaining of such authorizations.
Hansenet moves DSL users to DeTe network, Telefonica furious (Grazie Luca) Telecom Italia's German subsidiary Hansenet has transferred part of its 2.36 million DSL customers from the Telefonica O2 Germany network to the Deutsche Telekom network, according to the Financial Times Deutschland citing company sources. The transfer concerns mostly former AOL Germany customers, which were connected via Telefonica Germany. This move is not good for the alliance between Telecom Italia and Telefonica, as Telefonica is TI's largest (indirect) shareholder.
